Terms of Service

These terms govern your use of Hyra ("Hyra"). By creating a merchant account or signing in, you agree to them. Customers using a merchant's pass are bound by the parts of this document that concern customer use (sections 7–9).
1. The service
Hyra is a hosted loyalty-card platform. We let local merchants create QR-based stamp programs, issue single-use stickers, redeem rewards in-store, and message customers through Apple Wallet / Google Wallet pushes, email, and SMS. Hyra is not a payments service: we never touch card or bank data, and we do not initiate or hold money for the merchant or customer.
2. Accounts and eligibility
- You must be at least 18 and able to enter a contract under the law of your jurisdiction.
- You must provide accurate account information and keep it current.
- You're responsible for everything done on your account. Keep your password and any API tokens private.
- One business per merchant account. Multi-location is supported within a single account on the Pro plan; running multiple distinct businesses requires separate accounts.
3. Subscription, billing, and trials
- Hyra is free forever for your first 100 customers (one location, email tools) — no credit card and no time limit. When you outgrow the free tier you can upgrade to a paid Pro plan, priced per location. There is no trial period: paid plans are billed when you upgrade, and you can cancel anytime.
- Plans are monthly. Charges occur on the calendar day you upgraded. Payment is taken via Stripe.
- You may cancel at any time from
/dashboard/billing. Cancellation stops further charges; access continues to the end of the current paid period. - Refunds: cancellation without refund is the default. A pro-rata refund may be granted at our discretion for outages we caused (see section 11 of the SOPs for severity tiers).
- Plan limits (active campaigns, monthly sticker quota) are enforced server-side and detailed on the Pricing page.
4. Your data and ours
We process two kinds of data: data about you (the merchant) and data about your customers. The full breakdown lives in our Privacy Policy. Two principles you should know about:
- You own your customer list. We hold it for you, isolated by row-level security, and never share or sell it.
- You can export your data at any time from the settings page, and we will delete it within 30 days of a written deletion request.
5. Acceptable use
You may not use Hyra to:
- Promote illegal goods or services, or run loyalty programs around regulated products you are not licensed to sell.
- Send spam. Marketing email / SMS through Hyra must comply with CAN-SPAM, GDPR, and any applicable local rules. Failure to honor unsubscribe requests is grounds for account suspension.
- Falsify stamp activity. Issuing stamps for transactions that never occurred, or fabricating sticker scans, breaks the integrity of the platform and is grounds for suspension.
- Attempt to bypass plan limits, automate sticker minting, or scrape the dashboard.
- Upload or distribute content that infringes copyright, contains malware, or is otherwise unlawful.
6. Stamp economics (a soft promise)
Hyra does not control your reward economics — you set the campaign, you set the threshold, you decide what the reward is. We do enforce three integrity rules on your behalf:
- Posters never grant stamps. Posters are discovery surfaces; we do not increment a counter when someone scans them.
- Stickers are single-use. Each sticker code can only be consumed once. Reissuing requires generating a new batch.
- Cashier scans are gated by your business ownership. No one can stamp a pass that doesn't belong to your business.
7. Customer use of a merchant's pass
When you (a customer) scan a merchant's QR, you create a loyalty card with that merchant — not with Hyra. The reward, the redemption process, and the merchant's in-store policies are between you and the merchant. Hyra is the technical platform that holds your stamp count and syncs your pass to your phone.
Hyra never charges customers. If a merchant asks you to pay through a Hyra URL, please email hi@hyralabs.com — that's a misuse of the platform.
8. Intellectual property
- The Hyra name, logo, and underlying platform code are owned by Hyra.
- Your business name, your customer list, and any creative content you upload (logos, photos, stamp art) remain yours. You grant us a limited license to display and process them on your behalf.
- AI-generated assets (stamp art, gradient suggestions, quotes) made through Hyra are licensed to you for your loyalty program. They are not exclusive — we do not guarantee uniqueness.
9. Termination
- You may cancel at any time. We may suspend or terminate accounts that violate these terms after giving notice and a reasonable chance to cure (unless the violation is severe — e.g. fraud, abuse of customers, or illegal use).
- On termination, we'll let you export data for 30 days before deleting it.
10. Disclaimers
Hyra is provided "as is." We make commercially reasonable efforts to keep the service available and operating correctly, but we do not guarantee uninterrupted operation, the accuracy of generated content, or the success of any loyalty program. Apple Wallet, Google Wallet, Stripe, OpenAI, and other third-party providers may impose their own outages or limits that affect Hyra.
11. Limitation of liability
To the maximum extent permitted by law, Hyra's aggregate liability for any claim arising out of these terms is capped at the amount you paid Hyra in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages — lost profits, lost customers, or reputational harm.
12. Indemnification
You agree to defend and indemnify Hyra against any claim arising from your use of the service in violation of these terms or any law. This is the standard SaaS indemnity, and it protects Hyra against, say, a customer suing because you sent them non-compliant marketing through the platform.
13. Governing law and disputes
These terms are governed by the laws of the State of California, U.S.A., without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration in San Francisco, except for claims qualifying for small-claims court or injunctive relief for intellectual-property infringement.
14. Changes to these terms
We'll post material changes here and bump the "Last updated" date. For significant changes we'll email every active merchant at least 14 days before the change takes effect, and continued use after that point counts as acceptance.

SMS Messaging Program Terms
By providing your mobile number to Hyra or a participating merchant and opting in to SMS, you consent to receive recurring automated marketing and transactional SMS messages from that merchant (loyalty card updates, reward unlocks, birthday rewards, campaign announcements). Consent is not a condition of purchase.

Supported carriers: AT&T, Verizon, T-Mobile, Sprint, Boost, US Cellular, Cricket, MetroPCS. Carriers are not liable for delayed or undelivered messages. Hyra does not sell or share your phone number with third parties for their own marketing.
